By accessing or using CloutNest ("the Platform"), operated at cloutnest.co.ke, you agree to be bound by these Terms of Service ("Terms"). If you do not agree, you must not use the Platform. These Terms apply to all visitors, registered users, and anyone who purchases services or otherwise accesses our platform.
CloutNest is an AI-powered social media management platform that provides the following core services to registered users:
The availability and speed of audience growth campaigns depends on the relevant social media platform's current policies and conditions, which are outside CloutNest's control.
You must be at least 18 years old (or the age of legal majority in your jurisdiction) to use CloutNest. By registering, you represent and warrant that:
To access paid services you must create a registered account. You agree to provide truthful registration information and to update it as necessary to keep it accurate. You must notify us immediately at support@cloutnest.co.ke if you suspect unauthorised use of your account. CloutNest is not liable for any loss resulting from your failure to safeguard your credentials.
CloutNest operates on a pre-funded wallet model. All prices are displayed in Kenyan Shillings (KSh) and are inclusive of applicable fees. By funding your wallet or subscribing to a monthly plan, you authorise us to charge the stated amount through your chosen payment provider (Paystack or NowPayments). Key conditions:
CloutNest provides AI-powered content generation tools ("AI Tools") as part of certain subscription plans. By using the AI Tools, you acknowledge and agree that:

We may suspend or permanently terminate your account if we determine, in our sole discretion, that you have violated these terms.
We make reasonable efforts to fulfil audience growth campaigns within the estimated timeframes displayed at the time of purchase. However, delivery times are estimates and may vary due to factors outside our control, including third-party platform changes, network conditions, or high demand. CloutNest does not guarantee any specific business outcome, revenue, or reach as a result of using our services. Natural fluctuations in social media metrics after campaign completion are outside our control.
All content on the Platform — including the CloutNest name, logo, design, text, graphics, and software — is owned by or licensed to CloutNest and is protected by applicable intellectual property laws. You may not copy, reproduce, distribute, or create derivative works from any part of the Platform without our prior written permission. User-created content and AI-generated outputs created through the Platform belong to you, subject to the licence grant in Section 6.
The Platform and all services — including the AI Tools — are provided "as is" and "as available" without warranty of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Platform will be uninterrupted, error-free, or free of harmful components, or that AI-generated content will meet your specific requirements.
To the fullest extent permitted by applicable law, CloutNest and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of profits, data, goodwill, or other intangible losses — arising out of or in connection with your use of (or inability to use) the Platform or our services, even if we have been advised of the possibility of such damages. Our total aggregate liability to you for any claim shall not exceed the amount you paid to CloutNest in the 30 days preceding the event giving rise to the claim.
You agree to indemnify, defend, and hold harmless CloutNest and its affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your access to or use of the Platform, content you publish using our AI Tools, your violation of these Terms, or your infringement of any third-party rights.
The Platform integrates with third-party services including payment processors (Paystack, NowPayments), authentication providers (Firebase/Google), and underlying AI model providers. These integrations are provided for functionality purposes. CloutNest has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party services.
We may suspend or terminate your access to the Platform at any time, with or without cause, and with or without notice. Upon termination, all provisions of these Terms that by their nature should survive (including intellectual property, disclaimers, indemnification, and limitation of liability) will continue to apply. You may close your account at any time by contacting support@cloutnest.co.ke. Any unused wallet balance at the time of voluntary account closure may be refunded subject to our Refund Policy.
These Terms are governed by and construed in accordance with the laws of Kenya, without regard to its conflict-of-law provisions. Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Nairobi, Kenya.
We reserve the right to modify these Terms at any time. When we make material changes, we will update the "Last updated" date at the top of this page and, where appropriate, notify you by email. Your continued use of CloutNest after the updated Terms take effect constitutes your acceptance of the revised Terms.
